Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the CxSentinel LLC ("CxSentinel", "we", "us", or "our") website located at cxsentinel.com, participation in our waitlist, and any related services, features, content, or applications we may offer now or in the future (collectively, the "Service").

Please read these Terms carefully before using the Service. By accessing, browsing, or using the Service (including submitting information to our waitlist), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you may not access or use the Service.

2. Definitions

• "Service": Refers to the CxSentinel website, waitlist, future software platform, and any related content, features, and services provided by CxSentinel.
• "User", "you", "your": Refers to the individual or entity accessing or using the Service.
• "Content": Refers to all text, graphics, images, music, software, audio, video, information, or other materials available through the Service.
• "CxSentinel Content": Refers to Content owned by or licensed to CxSentinel.
• "Waitlist": Refers to the pre-launch sign-up list for potential users interested in the CxSentinel software platform.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Use of the Service

Limited License: Subject to your compliance with these Terms, CxSentinel grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business evaluation purposes (in the case of the website and waitlist) or as expressly permitted by any future subscription agreement (for the software platform).

Waitlist: Participation in the Waitlist allows you to express interest in the CxSentinel software platform. It does not create any obligation for CxSentinel to provide you with access to the future software, nor does it guarantee any specific features, service levels, or pricing upon launch. Selection for early access or beta programs, if any, will be at CxSentinel's sole discretion.

Future Software Platform: Access to and use of the main CxSentinel software platform, when available, will be governed by a separate subscription agreement, including specific terms related to fees, service levels, support, and data processing.

Acceptable Use: You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure of the Service.
• Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Use the Service to transmit any unsolicited or unauthorized advertising, promotional materials, spam, or other forms of solicitation.
• Violate any applicable local, state, national, or international law or regulation.

User Accounts (Future): Use of the future CxSentinel software platform may require you to register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. User Responsibilities

You are responsible for:

• Providing accurate and complete information when joining the Waitlist or using the Service.
• Complying with all applicable laws and regulations in connection with your use of the Service.
• Ensuring that your use of the Service does not infringe upon the rights of any third party.

6. Intellectual Property Rights

CxSentinel Ownership: The Service and all CxSentinel Content, including software, text, graphics, logos, trademarks, service marks, and other materials, are the exclusive property of CxSentinel or its licensors and are protected by intellectual property laws. Except for the limited license granted in Section 4, CxSentinel retains all rights, title, and interest in and to the Service and CxSentinel Content.

Feedback: If you provide CxSentinel with any suggestions, comments, improvements, ideas, or other feedback related to the Service ("Feedback"), you hereby grant CxSentinel a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Feedback for any purpose, without any obligation or compensation to you.

7. Fees and Payment (Future Service)

Access to the CxSentinel website and participation in the Waitlist is currently free. Use of the future CxSentinel software platform will be subject to subscription fees and payment terms outlined in a separate subscription agreement.

8. Term and Termination

Term: These Terms become effective when you first access or use the Service and remain in effect until terminated.

Termination by CxSentinel: We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms.

Termination by You: You may stop using the Service at any time. If you have an account for the future software platform, termination procedures will be outlined in the applicable subscription agreement.

Effect of Termination: Upon termination, your license to use the Service ceases immediately. Sections pertaining to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Miscellaneous provisions shall survive termination.

9. Disclaimers of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CXSENTINEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CXSENTINEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, NOR DOES IT WARRANT THAT ANY DEFECTS WILL BE CORRECTED. CXSENTINEL DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE SERVICE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CXSENTINEL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF CXSENTINEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY CONTENT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CXSENTINEL'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

11. Indemnification

You agree to defend, indemnify, and hold harmless CxSentinel, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any use of the Service's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Service.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Alaska, United States, without regard to its conflict of laws principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Alaska located in Palmer, Alaska. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Changes to Terms

CxSentinel reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect, such as by posting the updated Terms on the website and updating the "Last updated" date. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

14. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and CxSentinel regarding the Service (excluding the future software platform, which will have its own agreement) and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Waiver: No waiver by CxSentinel of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CxSentinel to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Force Majeure: CxSentinel shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond CxSentinel's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without CxSentinel's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. CxSentinel may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
